COVID 19 – Electronic Signatures Admissibility in Egypt

It is expected that electronic signature will be increasingly used in the awake of the COVID-19 pandemic and the resulted social distancing measures imposed by governments and implemented by the different entities.
E-signature is recognized in Egypt since 2004 with the issuance of Law No. 15/2004 on the Electronic Signature and the Establishment of the Information Technology Industry Development authority (“E-signature Law”) and its Executive Regulation issued by virtue of Communication Minister’s decree No. 109/2005 (the “Executive Regulation” or “ER”).

A new regulation was yesterday to require all companies in Egypt to disclose the ultimate beneficial owners who have actual ownership or control over the company. The regulation is issued by Ministerial Decree No. 41/2020 (“Decree”) amending the Executive Regulations of the Commercial Register Law No. 34/1976.

New Mandatory Compliance Requirement for Listed Companies in Egypt

The Egyptian Financial Regulatory Authority issued Decision No. 1 for 2020 to amend the Rules of Listing and Delisting Securities at the Egyptian Stock Exchange issued in 2014 (“Listing Rules”). The amendment imposed new mandatory compliance requirements on companies listed at the Egyptian Stock Exchange.
